Chapter 10 - Samuel Price

Samuel Price did not look like a man who held the emergency control mechanism for a multibillion-dollar company.

That appearance had been useful to him for decades.

Samuel spent most of his career as the attorney wealthy people forgot was in the room.

He spoke quietly.

Dressed conservatively.

Never interrupted unless a sentence mattered.

Charles valued that because Mercer board meetings were full of men who treated volume as evidence.

Samuel had served as outside trust counsel before Arthur joined the family office.

The two lawyers respected each other's intelligence and disliked each other's methods.

Arthur believed good counsel stayed close enough to power to influence it.

Samuel believed distance was the only way to see power clearly.

Charles used both men because he trusted neither philosophy completely.

Paxton remembered Samuel from childhood as the man who always arrived with a red leather case and peppermint candies in the side pocket.

Claire remembered him as the only adult who told Evelyn no without first apologizing.

Samuel disappeared from Mercer family events after Charles died.

Evelyn called it retirement.

In reality, she removed him from all active trust administration and transferred routine work to a larger firm.

Samuel did not fight the decision publicly.

He simply preserved the documents Charles had instructed him to preserve.

"Why didn't you contact us?"

Claire asked once they were seated.

Samuel looked at her.

"Because your father specifically told me not to become another adult competing for your loyalty after he died."

Claire frowned.

"That sounds unusually healthy for him."

Samuel smiled.

"Charles had moments."

Paxton looked at him.

"You knew I deleted the records."

"Yes."

"And you never told Claire."

"It was not my confession to make."

Paxton's face tightened.

"You could have stopped a lot of this."

Samuel nodded slowly.

"Possibly."

"Or I could have made it worse by entering a family dispute with legal documents and no invitation."

Nicole studied him.

"That's convenient."

"It is also true."

Samuel looked at all of them.

"Do not turn Charles into a prophet and do not turn me into a guardian who saw everything."

"Your father built contingency plans because he was frightened."

"Some were wise."

"Some were excessive."

"And some created exactly the secrecy we are dealing with tonight."

Nicole appreciated the admission.

It was the first time someone close to Charles described his planning as both useful and flawed.

Samuel continued.

"A dead man's documents are tools."

"They are not commandments."

"Use them to create room for judgment."

"Then make your own judgment."

Paxton looked at Nicole.

The advice landed more heavily than Samuel probably intended.

He looked like a retired history professor who had become annoyed by weather.

His gray coat was damp from the rain.

His silver hair curled at the edges.

He carried a red leather briefcase in one hand and a paper cup of coffee in the other.

When Nicole entered the veterinary hospital's reception area, he looked at her wedding ring before he looked at her face.

"Nicole Mercer?"

"Yes."

"Letter."

No greeting.

No explanation.

Nicole almost smiled.

"You first."

Samuel raised an eyebrow.

"You called me."

"And everyone who has asked for the letter tonight has had a private agenda."

Samuel considered that.

"Charles would have liked you."

"People keep telling me what dead men would think."

"Fair criticism."

He set his coffee on the counter.

"Ask me something only Charles's attorney would know."

Nicole thought.

"What does 0419 mean?"

"The date he signed the continuity instructions."

"Why was it the mechanical stairwell code?"

"Because Charles had the subtlety of a marching band when he believed he was being clever."

Paxton's voice came from the hallway.

"That's accurate."

Samuel turned.

For the first time, his calm expression broke.

Paxton stood between Claire and Dana, one arm braced against the wall.

He was pale and unsteady but upright.

Samuel crossed the room.

"You should be lying down."

Paxton smiled faintly.

"Everyone keeps saying that."

Samuel stopped in front of him.

The two men looked at each other for a long moment.

"You got old,"

Paxton said.

Samuel's eyes softened.

"You got stubborn."

"I started that way."

Samuel embraced him carefully.

Nicole realized Paxton knew him.

"You said you didn't know where to find him."

Paxton looked guilty.

"I knew him when I was younger."

"That is not what I asked."

"I hadn't seen him since Dad died."

Samuel looked between them.

"Marital tension can wait ten minutes."

Nicole folded her arms.

"You have five."

Samuel picked up the red briefcase.

They moved into a private consultation room.

Maya locked the reception doors and turned off the front sign.

Inside, Samuel placed the briefcase on a stainless-steel table.

"Original letter."

Nicole handed it to him.

Samuel examined the paper, handwriting, date, and embossed mark near the bottom.

Then he looked at Nicole.

"Phrase?"

"The company matters more than you do."

Samuel answered.

"Not anymore."

He opened the briefcase.

Inside were sealed legal packets, an old digital recorder, and a small red notebook.

Claire leaned forward.

"Dad's codicil?"

"One of them."

Paxton stared.

"One of them?"

Samuel looked at him.

"Your father revised his estate planning seven times in his final year."

Claire laughed without humor.

"Healthy family."

Samuel removed a sealed packet.

"This version controls."

Nicole looked at the document.

"What does it actually do?"

Samuel opened the packet.

"If the primary heir is declared incapacitated within thirty days of a proposed sale affecting more than forty percent of Mercer Holdings assets, the spouse becomes emergency trust protector for ninety days."

"Trust protector?"

"You can suspend the vote."

Nicole looked at Paxton.

"Not control the company."

"No."

Samuel continued.

"You can suspend board actions involving control transactions."

"Replace trustees temporarily."

"Demand an independent capacity review."

"And compel production of certain internal records."

Claire looked at Arthur's version in her memory.

"Arthur exaggerated."

"Arthur interpreted aggressively."

Samuel's tone suggested he had known Arthur for a very long time.

Nicole looked at the codicil.

"Can Evelyn challenge it?"

"She already has."

Everyone stared at him.

"When?"

"At 7:32 tonight."

Samuel removed another document.

"Her attorney filed an emergency petition arguing that your marriage was never validly entered into the Mercer trust registry."

Nicole's stomach tightened.

"Arthur filed it?"

Samuel shook his head.

"Different counsel."

"Who?"

"Marlowe Finch."

Paxton swore softly.

Claire looked at Nicole.

"Evelyn's personal litigation firm."

Samuel continued.

"The petition claims you and Paxton married under an alias to avoid press attention and that the trust was never formally notified."

Nicole looked at Paxton.

They had married quietly in a courthouse after Evelyn threatened to turn the wedding into a corporate event.

They had used Paxton's legal middle name on the public appointment schedule to avoid photographers.

But the license itself used their full legal names.

"Our marriage is legal."

"Yes."

"Then why does this matter?"

"Because the trust recognizes spouses through a separate certification process."

Paxton's face changed.

Nicole saw it.

"You didn't file it."

Paxton looked at Samuel.

"I sent the paperwork to Arthur."

Samuel's eyebrows lifted.

"Did you receive confirmation?"

Paxton said nothing.

Nicole felt anger rise again.

"Paxton."

"Arthur said it was handled."

Claire laughed.

"Amazing."

Paxton glared at her.

"Helpful."

Samuel raised a hand.

"The marriage is still legal."

"The trust issue is procedural."

Nicole looked at him.

"Can we fix it before ten?"

Samuel nodded.

"Maybe."

Nicole closed her eyes.

"I am banning that word from this room."

Samuel almost smiled.

"Then yes, if we recover the certification packet Charles prepared."

"Where is it?"

Samuel looked at Paxton.

"Your office archive."

Nicole laughed in disbelief.

"We just escaped from there."

"Not the corporate office."

Samuel opened the red notebook.

"The archive suite beneath Hangar One."

Claire stared.

"There is no archive suite beneath Hangar One."

Samuel looked at her.

"That was the idea."

Paxton rubbed his forehead.

"Dad had another room?"

"Your father had trust issues."

Dana spoke for the first time.

"Correctly, apparently."

Samuel nodded.

"The certification packet should include your original trust notice, witness affidavits, and Charles's acknowledgment."

Nicole looked at the clock.

11:26 p.m.

"Then we go now."

Samuel shook his head.

"Evelyn controls the airfield."

"We were just there."

"And now she knows you were there."

Paxton looked at Nicole.

"The maintenance tunnel."

Samuel stared at him.

"You remember it?"

"Dad used to take me through it when I was a kid."

Claire looked offended.

"He never showed me."

Paxton shrugged weakly.

"You told him tunnels smelled like spiders."

"I was eight."

"You were correct."

Nicole raised her hand.

"Focus."

Samuel opened another section of the briefcase.

"Before anyone goes anywhere, there is something you all need to hear."

He removed the old digital recorder.

Paxton stared at it.

"Dad's?"

"Yes."

Samuel pressed play.

Charles Mercer's voice filled the small room.

It was deeper than Nicole expected.

Tired.

Controlled.

"April nineteenth, 11:40 p.m."

A pause.

"Meeting with Evelyn concluded twenty minutes ago."

Paxton's face went still.

Charles continued.

"She believes the Halcyon transaction is necessary to protect the family from debt exposure."

"I believe someone has lied to her about the debt."

Nicole looked at Claire.

That was new.

Charles's voice continued.

"Paxton removed transaction records at her request."

"I am angry with him."

"I am more concerned about why she needed them removed."

Another pause.

"Arthur believes an internal party may be manipulating Evelyn and Halcyon simultaneously."

Everyone looked at Samuel.

"Who?"

Paxton whispered.

Samuel held up a hand.

The recording continued.

"I have begun reviewing payments authorized through Mercer Medical Benefits, aviation maintenance, and the family office."

"The same consulting entity appears in all three."

"Reeves Advisory Group."

Dana's face changed.

Dr. Nathan Reeves.

Charles continued.

"If I am correct, Nathan is not simply Evelyn's physician."

"He is the architect of the pressure campaign."

Paxton stared at the recorder.

Nicole felt every assumption shift.

Reeves had signed Charles's death certificate.

Reeves had signed Paxton's incapacity declaration before Paxton became incapacitated.

Reeves had attempted to control Paxton's transfer.

Samuel stopped the recording.

Claire leaned forward.

"Why did Dad think Reeves was manipulating Mom?"

Samuel's expression darkened.

"Because Reeves had been borrowing money from Mercer family entities for years."

"How much?"

"At least eleven million dollars."

Paxton stared.

"That's impossible."

"No."

Samuel looked at him.

"It was hidden."

Nicole's mind raced.

"If Evelyn discovered it, why keep Reeves around?"

Samuel answered quietly.

"Charles believed she never knew."

The room went silent.

Claire shook her head.

"Then Reeves is using Evelyn."

Samuel's face remained grim.

"Or he was."

Nicole caught the distinction.

"What changed?"

Samuel looked at her.

"Six years is a long time for someone to become a partner instead of a pawn."

Paxton pushed himself upright.

"We need the archive."

Maya entered suddenly.

"You also need to leave."

Everyone looked at her.

"Why?"

Maya held up her phone.

"Two black SUVs just turned into the parking lot."

Claire moved toward the window.

"Evelyn?"

Maya shook her head.

"I don't know."

Samuel closed the red briefcase.

"Rear exit."

Nicole helped Paxton stand.

He nearly fell.

Dana caught his other arm.

"You are not ready to run."

Paxton smiled weakly.

"Good thing I'm married to someone who is."

Nicole looked at him.

"Save the charm."

They moved toward the rear hallway.

The front doors opened behind them.

A man's voice called into the clinic.

"Dr. Chen?"

Dr. Reeves.
