Chapter 10 - The Boardroom Ambush.

Daniel began speaking before Rebecca had even taken her seat.

"For the record, I object to her presence."

Company counsel, Priya Desai, sat at the opposite end of the table.

"For the record, the board invited Ms. Mercer as representative of a secured stakeholder whose contractual rights are directly implicated by today's agenda."

Daniel's jaw tightened.

Rebecca sat beside Nora without looking at him.

Eight directors surrounded the long walnut table.

Samuel Ortiz sat three seats to Daniel's right.

The audit committee chair, Margaret Bell, sat across from him.

No one looked comfortable.

That reassured Rebecca.

Comfort would have meant people had already chosen a story.

Priya opened the meeting.

"Mr. Mercer has requested board review of the trust's founder-share conversion option on the basis that the agreement was allegedly procured or administered through undisclosed control arrangements."

Daniel leaned forward.

"Not allegedly."

"I have a recording."

Priya looked at him.

"You will have an opportunity to present it."

Daniel sat back.

Rebecca noticed a flash of the old Daniel.

The founder who hated waiting for other people to finish sentences.

Priya continued.

"Because the allegation concerns historical financing agreements and potential governance implications, the board will hear Mr. Mercer's evidence, then Ms. Mercer's response, then counsel's preliminary analysis."

Daniel's attorney was no longer Miles Grant.

Miles had withdrawn from personal representation the previous evening, citing conflicts between past company work and Daniel's expanding claims.

Daniel now sat beside a litigator named Victor Hale.

Victor looked less interested in Daniel's emotions and more interested in procedural leverage.

"Proceed," Priya said.

Victor connected a laptop to the conference screen.

Daniel looked directly at Rebecca.

"Sixteen years ago, Rebecca and her father agreed that she would secretly control voting authority over my company while keeping that control hidden from me."

Several directors shifted.

Rebecca remained still.

Daniel continued.

"I built Mercer Holdings believing I had operational independence."

"I now know that the Mercer Family Trust embedded private control rights through my wife."

"That arrangement was never disclosed to me in meaningful terms."

Nora wrote something on a pad and slid it toward Rebecca.

LET HIM FINISH.

Rebecca almost smiled.

Victor played the eighteen-second clip.

Arthur's voice.

Then Rebecca's.

"Then give me the voting authority and I will control it for him."

"He never needs to know."

The room became very quiet.

Daniel watched the directors instead of Rebecca.

He was measuring impact.

Samuel frowned.

Margaret's expression remained neutral.

One director rubbed his chin.

Daniel leaned back.

"That is the truth of the arrangement."

Priya looked at Victor.

"Is that the complete recording?"

Victor hesitated.

Rebecca noticed.

"It is the relevant portion," he said.

Priya's eyes narrowed slightly.

"I asked whether it is complete."

Daniel answered.

"There are other portions."

Rebecca looked at him for the first time.

He held her gaze.

There was defiance there.

Also fear.

Priya turned to Nora.

"Ms. Chen?"

Nora did not immediately respond.

She placed a small audio drive on the table.

"We have the original eleven-minute recording from which Mr. Mercer's clip appears to have been extracted."

The room changed instantly.

Daniel's face did not.

Victor's did.

He leaned toward his client and whispered something.

Daniel whispered back.

Priya looked at them.

"Counsel, were you aware a longer recording existed?"

Victor paused.

"I was informed there may be additional audio."

"Were you informed the clip contained edits?"

Victor looked at Daniel.

That glance answered more than words.

Daniel spoke.

"The extra material doesn't change what she said."

Nora remained calm.

"An independent forensic analyst identified multiple edit points in the short file."

"We also have chain-of-custody documentation for the longer recording."

Daniel's hands tightened on the table.

Margaret leaned forward.

"Play the full relevant section."

Priya nodded.

Nora connected the audio.

Arthur's voice filled the boardroom.

This time the directors heard the whole exchange.

They heard Rebecca argue that Daniel should retain operational authority.

They heard Arthur insist on lender protections.

They heard Rebecca say she would exercise voting authority only if Daniel violated covenants.

They heard the missing words.

"If he does what he promised, I will never use it."

Then Arthur's warning.

"He can survive being poor."

"I am not sure he can survive feeling small."

Daniel stared at the table.

Rebecca felt no satisfaction hearing her late father's judgment played in front of him.

It was too intimate.

Too accurate.

The recording ended with Rebecca saying she did not want to control her husband.

She wanted to make sure fear did not control him first.

No one spoke for several seconds.

Then Samuel looked at Daniel.

"You knew this longer recording existed?"

Daniel lifted his chin.

"I knew there was more audio."

"Did you know your clip removed qualifying language?"

"The point remained the same."

Margaret's voice was cold.

"That was not the question."

Daniel looked at her.

"Yes."

The admission seemed to drain the air from the room.

Victor whispered urgently to him.

Daniel ignored him.

"Yes, I knew there was more."

"But she still had authority I didn't understand."

Priya opened a binder.

"Mr. Mercer, you signed the financing agreement acknowledging that the trust held contingent voting and conversion rights."

"Your signature appears on three separate acknowledgments."

"You were represented by independent counsel."

Daniel slammed his hand lightly against the table.

Not hard enough to be threatening.

Hard enough to show restraint was costing him.

"I was forty-eight hours from bankruptcy."

Priya nodded.

"That may be relevant to your legal argument."

"It does not make the recording say what you claimed it said."

Rebecca watched Daniel absorb the sentence.

His plan had depended on a compressed story.

A hidden controller.

A manipulated founder.

A powerful family secretly owning the poor outsider.

The full recording made the situation messier.

Messy truth was dangerous to people who needed clean enemies.

Victor requested a recess.

The board agreed.

Daniel left the room without looking at Rebecca.

Nora leaned closer.

"You all right?"

Rebecca nodded.

"I hated hearing my father's voice here."

"I know."

Samuel approached.

"Rebecca, I am sorry."

"For what?"

"For listening to that short clip and wondering."

Rebecca looked at him.

"You should have wondered."

"Why?"

"Because blind loyalty is how people get away with things."

Samuel gave a tired smile.

"Your father really did train you differently."

Rebecca looked down at the table.

"Eventually."

The meeting resumed twenty minutes later.

Victor no longer argued that the trust's rights were invalid because of secret control.

Instead, he argued the conversion clause had been satisfied by later refinancing.

Priya disagreed.

The question would require contractual analysis.

Then Margaret raised the issue everyone had been avoiding.

"Regardless of the trust dispute, the audit committee needs to address Mr. Mercer's conduct regarding Northstar and related entities."

Daniel stiffened.

Victor immediately objected to combining topics.

Margaret continued.

"The board must determine temporary executive authority today."

"The forensic review has identified 6.8 million dollars in payments requiring explanation."

Rebecca felt Ethan's absence like a physical thing.

He did not know the number had increased again.

Daniel leaned back.

"Requiring explanation does not mean improper."

"Correct," Margaret said.

"Which is why we are asking for explanation."

"I have provided it."

"You have described Northstar as a strategic brand partner."

"Yes."

"Northstar transferred funds to DKM Strategic Ventures."

Daniel's face tightened.

"For investment opportunities."

"What opportunities?"

"Private deals."

"Why were Mercer Holdings funds routed through Northstar before reaching an entity you manage?"

Victor touched Daniel's arm.

"My client will respond through counsel after reviewing the complete transaction schedule."

Margaret nodded.

"Then until he does, I move that Daniel Mercer be placed on administrative leave as chief executive officer with pay, effective immediately, pending completion of the independent review."

Rebecca stopped breathing for a second.

Daniel stared at Margaret.

"You can't be serious."

Samuel seconded the motion.

Daniel turned toward him.

"After everything I did for you?"

Samuel's face tightened.

"This is not about my brother."

"Don't."

Daniel pointed at him.

"Don't pretend you don't owe me."

Samuel looked around the table.

Then he did something Daniel did not expect.

"My brother was arrested for drunk driving fifteen years ago," Samuel said.

"Daniel helped me find him an attorney."

"It was humiliating for my family."

"It was not corporate misconduct."

Daniel stared at him.

Samuel's voice strengthened.

"There."

"Now it isn't leverage anymore."

Rebecca felt a chill.

Samuel had done exactly what she told Ethan.

He had stopped being ashamed of something that was not his crime.

Daniel looked suddenly smaller.

The vote proceeded.

Six directors voted for administrative leave.

One abstained.

Daniel voted against.

The motion passed.

Daniel sat motionless.

Priya spoke carefully.

"Mr. Mercer, you remain a director and shareholder."

"Your employment status will be reviewed when the audit process is complete."

Daniel turned to Rebecca.

"Congratulations."

Rebecca's stomach dropped.

"This is what you wanted."

She shook her head.

"No."

"Don't lie."

"You got your father's company back."

Rebecca's face hardened.

"It was never my father's company."

"He funded it."

"He protected a loan."

"Same thing."

"No, Daniel."

Rebecca's voice remained quiet.

"That difference is the entire problem."

Daniel stood.

Victor gathered his papers quickly.

Before leaving, Daniel looked around the boardroom.

"You think you can run this place without me?"

No one answered.

"I built everything you are sitting in."

Margaret spoke gently.

"Then help us protect it by answering the questions."

Daniel laughed bitterly.

"Protect it from me?"

Margaret did not respond.

Daniel left.

The door closed.

Rebecca stared at the empty chair at the head of the table.

She had imagined this moment many times during sleepless nights without admitting it to herself.

Not Daniel's removal.

His pause.

The moment somebody finally told him no and the world did not end.

Yet the world inside him seemed to.

Nora touched Rebecca's sleeve.

"We should go."

Rebecca nodded.

In the hallway, her phone rang.

Ethan.

She answered.

"Mom, is it true?"

Rebecca closed her eyes.

News had traveled fast.

"Your father has been placed on paid administrative leave pending the review."

Silence.

"Did you vote?"

"No."

"Were you in the room?"

"Yes."

"Did you want it?"

Rebecca leaned against the wall.

"I wanted him to answer the questions."

"That is not what I asked."

Rebecca looked through the glass at the boardroom.

"Part of me wanted someone to stop him."

"Does that make me terrible?"

Ethan's voice softened.

"No."

Rebecca closed her eyes.

"I don't know what happens next."

"Neither do I."

At that moment, across the hall, Daniel emerged from the executive elevator.

He had not left the building.

He stood ten yards away and looked at Rebecca holding the phone.

Neither moved.

Then Daniel raised his own phone.

Rebecca's screen lit with an incoming message from him.

One sentence.

YOU HAVE NO IDEA WHAT ELSE I KEPT.

Rebecca looked up.

Daniel was already walking away.

The boardroom ambush had failed.

But the threat made one thing clear.
