Chapter 8 - The Heir Clause

Daniel Mercer refused to play Camila's recorder in public.
He moved everyone to a temporary office above a small litigation firm near Holborn.
The space had bare white walls, mismatched chairs, and no sign that one of Europe's wealthiest men was using it as a command center.
Mercer liked it that way.
Camila sat at one end of the conference table.
Elena sat at the other.
Julian stood by the window.
Mercer connected the recorder to an isolated laptop.
"Before we listen, I want the chain of custody."
Camila rolled her eyes.
"I stole it from Bianca's hotel room."
"That is colorful, not useful."
"It was in the inside pocket of her black travel case."
"When?"
"Last night at 1:40."
"How did you access the room?"
"She gave me a spare key earlier."
"Why?"
"She wanted me to remove something if Julian brought Elena back to the hotel."
Elena leaned forward.
"What?"
Camila looked at her.
"A blue folder in Bianca's safe."
"What was in it?"
"I don't know."
"You did not look?"
"I could not find it."
Mercer inserted headphones, listened to the first minute, and then connected speakers.
Bianca's voice filled the room.
"If Julian delays closing, the proxy becomes vulnerable."
Adrian answered.
"He will not delay."
"You said he would be stable by now."
"I said Camila would keep him moving forward."
Camila looked down.
The recording continued.
Bianca spoke again.
"Elena is the problem."
"She has always been the problem because she reads what people put in front of her."
Adrian's voice sounded irritated.
"You wanted her gone, not me."
"I wanted the foundation quiet."
"You turned this into a family war."
Then Bianca said something that silenced the room.
"There is no family once the heir is born."
The recording crackled.
Adrian lowered his voice.
"You still have not told me what happens if the child is Julian's."
Bianca replied immediately.
"Then we make sure Elena remains legally absent until the merger closes."
"And after?"
"After, the structure changes."
"She can come back and scream all she wants."
"The assets will already be pledged."
Julian's hands curled into fists.
The recording continued.
Adrian asked another question.
"And the heir clause?"
Bianca laughed softly.
"You are still reading the wrong trust."
Mercer stopped the audio.
No one spoke.
Julian asked Mercer to replay the last thirty seconds.
The line about the heir sounded even worse the second time.
Not because Bianca raised her voice.
Because she did not.
She discussed Julian's unborn child with the same tone she used for transaction risk.
Elena stared at the speaker.
"I used to think Bianca did not like children."
Camila looked at her.
"She does not."
"No."
Elena shook her head.
"I mean I thought it was personal preference."
"Now I think she dislikes anything she cannot negotiate with."
Mercer leaned back.
"That may be psychologically interesting, but let us stay with evidence."
Julian looked at him.
"You are very determined to ruin every dramatic moment."
"It is an occupational service."
He marked timestamps from the recording.
"Notice Adrian's questions."
"What about them?"
"He does not sound like a co-equal planner here."
"He sounds like someone discovering pieces late."
Elena frowned.
"That does not make him innocent."
"No."
"It changes hierarchy."
Mercer pointed to another section.
"Bianca knows the trust structure."
"Adrian knows the money structure."
"That division matters."
Julian thought about years of working with them.
Adrian always brought numbers.
Bianca always brought consequences.
He had mistaken specialization for independence.
Together, they had covered each other's blind spots.
Or more accurately, Bianca had used Adrian's technical competence to build mechanisms whose full purpose he might not have understood at first.
Julian did not feel sympathy for him.
But the distinction explained why Adrian sometimes sounded genuinely alarmed in the recording.
He had helped construct a machine before realizing what Bianca intended to put inside it.
Elena touched the table.
"Then Adrian may break before she does."
Mercer looked at her.
"Exactly."
Julian nodded slowly.
For the first time, the conspiracy had a seam.
Julian turned from the window.
"What does that mean?"
Mercer looked at Elena.
"You said the original trust gives twenty-one percent to the first direct heir."
"Yes."
"Where did you learn that?"
"Your grandfather told me."
Julian stared at her.
"When?"
"Six months before he died."
"You never told me."
"He asked me not to."
"Why?"
"Because he did not trust your father's generation with it."
Julian sat down slowly.
His grandfather, Vittorio Rossi, had been ruthless even by family standards.
He had built the original property company after the war.
He had also believed family wealth destroyed families faster than poverty.
"What exactly did he tell you?"
Elena folded her hands over her stomach.
"He said the trust had two versions."
"One public operating copy."
"One sealed testamentary copy."
Mercer leaned forward.
"Where is the sealed copy?"
"I don't know."
Julian thought back to Vittorio's final months.
The old man had spent most of his time at a villa outside Bellagio.
Bianca had handled his legal affairs near the end.
"Bianca could have accessed it," Julian said.
Mercer nodded.
"Which means she may know a clause no one else knows."
Camila looked confused.
"Why would a dead man create secret corporate rules?"
Julian answered without looking at her.
"Because he enjoyed controlling people from beyond the grave."
Elena almost smiled.
"That part is true."
Mercer resumed the recording.
The next section was worse.
Bianca discussed moving funds into Aurelia Meridian.
Adrian objected to the scale.
Bianca reminded him that he had approved every transfer.
He accused her of forging two signatures.
She replied that Julian had signed enough blank authorizations over the years to make the distinction meaningless.
Julian's face hardened.
"I never signed blank authorizations."
Mercer paused the recording.
"You signed digital signature delegation agreements."
"For emergency closings."
"To whom?"
Julian knew the answer before he said it.
"Adrian and Bianca."
Mercer leaned back.
"There is your mechanism."
Elena looked at Julian.
"They did not need to forge every signature."
"No."
"They only needed to make valid delegated signatures look like your personal approvals."
Mercer nodded.
"Exactly."
Camila rubbed her arms.
"So what happens in forty-eight hours?"
Julian answered.
"Rossi Global closes a merger with Northstar Meridian Partners."
"The deal values the combined company at fourteen billion euros."
"Adrian structured it."
"Elena's foundation shares are being voted by proxy."
Mercer added the final piece.
"And once those shares are pledged into the merged holding company, unwinding the deal becomes legally and financially catastrophic."
Elena stared at the table.
"So they do not need to own Rossi Global."
Julian looked at her.
"They only need to bury their theft inside something too large to reverse."
Mercer's phone buzzed.
Before reading the message, Mercer asked Camila for one more detail about Bianca's room.
"You said there was a blue folder you could not find."
"Yes."
"Did Bianca describe it?"
"Only that it had an old crest embossed on the cover."
Elena looked at Julian.
"The original family crest?"
"What did it look like?" Julian asked.
Camila thought.
"A shield."
"A tower."
"And something like a lion."
Julian's expression changed.
"That is not the current Rossi crest."
Elena leaned forward.
"What is it?"
"My grandfather used it before the holding company was incorporated."
Mercer wrote it down.
"So the folder may predate Rossi Global's modern legal archive."
Julian nodded.
"Which supports the trust theory."
Camila rubbed her palms together.
"I did not know any of this."
Elena looked at her.
"I believe you did not know all of it."
Camila accepted the wording.
"I thought wealthy families lied about affairs and divorces."
"I did not think they built shell companies around unborn children."
Julian's voice was cold.
"You still helped manufacture an affair."
Camila looked at him.
"Yes."
"Why?"
"Money."
"No tragic explanation?"
"No."
Her bluntness surprised him.
"I had debt."
"I wanted access to people I thought could change my life."
"Bianca offered both."
"I told myself no one would really be hurt because the footage was supposedly for private leverage in a divorce negotiation."
Elena's expression sharpened.
"You made it easier to believe because that version let you take the money."
"Yes."
Camila's eyes filled but she did not look away.
"That is exactly what I did."
The room became quiet.
Julian realized this was what confession looked like when it was not designed to win forgiveness.
Ugly.
Specific.
Incomplete.
But useful.
Elena leaned back.
"Then keep doing that."
"What?"
"Tell the part that makes you look worst before someone else does."
Camila nodded.
Mercer looked at Elena with new respect.
"You would have been very good at investigations."
"I spent years chairing a family foundation."
"Same politics, less exciting stationery."
Then Mercer finally looked at the message on his phone.
He checked the message.
"My team has preliminary results from the flash drive."
Julian waited.
"The documents are authentic copies of original server records."
Elena exhaled.
Mercer continued.
"Several PDFs contain revision history from Rossi Global legal systems."
"Bianca's user credentials appear in the metadata."
Camila looked almost relieved.
"So we have her."
Mercer shook his head.
"We have evidence."
"That is not the same as having her."
"What else?" Julian asked.
Mercer's expression darkened.
"The twenty-eight-million-dollar transfer in room 614 is real."
"The beneficiary company was Aurelia Meridian Holdings."
"And Aurelia Meridian was incorporated through nominees."
"Can you identify the beneficial owner?"
"We did."
Julian expected Bianca.
Mercer turned the laptop toward him.
The registered beneficial owner was not Bianca Rossi.
It was a trust.
THE VITTORIO ROSSI LEGACY TRUST II.
Julian stared at the name.
"There is no Legacy Trust II."
Mercer looked at him.
"Apparently there is."
Elena's hand went to her stomach.
Then she looked at Julian.
"Your grandfather made two trusts."
Julian remembered Bianca's words on the recording.
You are still reading the wrong trust.
Mercer opened the incorporation file.
The settlor line was partially redacted.
The trustee was a Swiss fiduciary company.
The listed beneficiary category contained only one phrase.
FIRST SURVIVING HEIR OF JULIAN ROSSI.
The room went silent.
Camila whispered.
"The baby owns Aurelia?"
Mercer shook his head.
"Not exactly."
"But someone is using a trust created for Julian's child to hold the companies receiving the stolen money."
Elena's face drained of color.
Julian stood.
"They are laundering the theft through my unborn child."
Mercer nodded.
"And if the paperwork is structured the way I think it is, the child could inherit not only assets."
"What else?" Elena asked.
"Liabilities."
Julian's eyes hardened.

"They may be building a future case that the entire fraud existed for the benefit of your heir."
